Ambassador Program Terms and Conditions

A. Overview

These Terms and Conditions (the "Terms") govern your participation in the Ambassador Program (the "Program") operated by Tokyo Tengu SAS, a French simplified joint-stock company registered under SIREN 106 818 487, with its registered office at 47 rue Vivienne, 75002 Paris, France ("Tokyo Tengu", "we", "us" or "our").

By applying to or participating in the Program, you accept these Terms in full. If you do not agree with any part of these Terms, do not apply to or participate in the Program.

We may update these Terms from time to time. We will notify you of material changes by email or through your ambassador dashboard at least fifteen (15) days before they take effect. Your continued participation after that date constitutes acceptance of the updated Terms. If you do not accept the changes, you may leave the Program at any time and your validated commissions will be paid in accordance with Section D.

B. Eligibility and Application

  1. You must be at least eighteen (18) years old and have full legal capacity to enter into this agreement.
  2. Applications are reviewed individually. Tokyo Tengu has sole discretion over the acceptance, refusal, suspension or termination of any application or participation, and is not required to give reasons.
  3. Each person may hold only one ambassador account, one link and one code. Applying for or using more than one is a breach of these Terms.
  4. If you want your link or code deactivated, or you want to close your account, write to contact@tokyo-tengu.com.

C. Your Ambassador Link and Code

  1. Upon acceptance, we give you a unique tracking link and a unique discount code (currently -10% for your community, cumulable with our ongoing store offers unless we tell you otherwise).
  2. Sales are attributed to you when a customer purchases on tokyo-tengu.com through your link (within the tracking window set in our affiliate platform) or by using your code.
  3. Tracking is handled by our affiliate platform. Its records are the reference for attribution and commissions. We cannot attribute sales retroactively where no link or code was used.
  4. The link and code are personal. You may not sell, transfer or share them with a third party for their own use.

D. Commission

  1. Rate. You earn a commission of ten percent (10%) of the Net Revenue of each attributed sale.
  2. Net Revenue means the amount actually paid by the customer for the products, after any discount, and excluding shipping charges, taxes (VAT, sales tax, duties) and any other charge levied at checkout.
  3. Your own orders. No commission is paid on orders you place yourself, on orders placed on your behalf, or on orders that are placed to game the Program (for example self-purchases by friends or family with the sole purpose of generating commission). We may cancel commissions on such orders at our discretion.
  4. Validation. A commission becomes payable thirty (30) days after the order date, provided the order has not been cancelled, refunded, returned, disputed or flagged as fraudulent. Commissions on refunded or returned orders are cancelled, in full or in proportion to the refund.
  5. Payment. Validated commissions are paid monthly, by bank transfer or PayPal, to the payment details you provide in your ambassador dashboard. We cannot pay you until those details are complete and correct. Payments are made in euros; any conversion or receiving fees charged by your bank or payment provider are yours.
  6. Invoices and taxes. You are responsible for any tax, social contribution or declaration due on your commissions in your country. Where required by your local law, you agree to issue an invoice or accept a self-billing statement generated by us.
  7. Sole consideration. You acknowledge that the commission, the personal discount and the starter pieces described in these Terms constitute the entire and sufficient consideration for your participation in the Program, and that you are not entitled to any other payment, fee, royalty, equity or compensation of any kind, in cash or otherwise, unless we agree so expressly and in writing.
  8. Changes to rates. We may change commission rates, tiers or payment methods for future sales with fifteen (15) days' notice. Changes never apply to commissions already validated.

E. Personal Discount and Starter Pieces

  1. You receive a personal discount of twenty percent (20%) on your own orders on tokyo-tengu.com, for your personal use only. This discount may not be shared or resold.
  2. When you join, we send you two (2) to three (3) pieces free of charge so you can start creating content. These pieces are a gift; there is no obligation to return them and no cash alternative. Import duties or taxes charged in your country on gifted pieces, if any, are your responsibility unless we state otherwise when shipping.
  3. Additional pieces may be offered from time to time at our discretion.

F. Content and Advertising Use

  1. Your content stays yours. You keep ownership of the content you create about Tokyo Tengu.
  2. Organic sharing. By participating, you grant Tokyo Tengu a non-exclusive, worldwide, royalty-free licence to repost, share and feature the content you publish about Tokyo Tengu on our own channels (website, social media accounts, newsletters), with credit to you, for as long as you are in the Program and for twelve (12) months after.
  3. Paid advertising. We may from time to time want to use your content in paid advertising (for example Meta or TikTok ads, including through partnership ads or "whitelisting"). If so, we will ask you first, in writing, describing the content and platforms concerned. You are free to accept or refuse, and refusing has no effect on your participation or your commissions.
  4. No additional fee. If you accept, you agree that the commission described in Section D is the sole consideration for this advertising use, and that no additional usage fee, licence fee or other payment is due. Sales generated by such ads are attributed to the advertising platform and do not carry your code or commission.
  5. Withdrawal. You may withdraw your consent to advertising use at any time by writing to contact@tokyo-tengu.com. We will stop the concerned ads within five (5) business days of receiving your request. Withdrawal has no retroactive effect and gives rise to no payment.
  6. No other use of your content will be made without your consent.

G. Permitted Uses

You may share your link and code on your own social media accounts, in your own videos, stories, posts, live streams, newsletters and with your own community, in a way that is consistent with the Tokyo Tengu brand: sober, confident, from fan to fan. We may share guidelines, briefs and updates through your dashboard or by email; you agree to read them.

H. Prohibited Uses

The following are strictly prohibited:

  1. Posting your link or code on coupon sites, deal aggregators, cashback sites, forums, marketplaces, or any public site not under your own name (for example Reddit, Google, coupon or promo-code websites).
  2. Bidding on Tokyo Tengu brand terms or misspellings on any advertising platform (Google Ads, Meta, TikTok or others), or running paid ads with your link or code without our written consent.
  3. Reusing Tokyo Tengu's content, or another creator's content, as your own.
  4. Using your link or code for your own purchases or having others do so on your behalf to earn commission.
  5. Promoting your link or code on Tokyo Tengu's own accounts, or on other Tokyo Tengu creators' profiles or posts.
  6. Misrepresenting the products, inventing features, making claims we have not made, or presenting yourself as an employee or official representative of Tokyo Tengu.
  7. Associating Tokyo Tengu with content that is unlawful, hateful, discriminatory, sexually explicit, violent, defamatory or otherwise likely to harm the brand.
  8. Sending unsolicited messages (spam) containing your link or code.
  9. Disparaging Tokyo Tengu (see Section M).

Breach of this Section may result in immediate termination of your account and the cancellation of any commissions that were generated in breach of these Terms or that are still unvalidated at the date of termination. We also reserve the right to claim compensation for any loss suffered.

I. Disclosure Obligations

You must clearly disclose your commercial relationship with Tokyo Tengu in any content where you share your link or code, in accordance with the rules applicable in your country (for example the FTC Endorsement Guides in the United States, the ARPP recommendations and the Consumer Code in France, the ASA/CAP Code in the United Kingdom, and the platform's own branded-content tools). A visible mention such as #ad, #sponsored, #partnership or "affiliate link" is required. You are solely responsible for complying with these rules.

J. Representations and Warranties

You represent and warrant that: (a) you are at least eighteen (18) years old; (b) you have the right and authority to enter into these Terms; (c) your participation will not violate any law, regulation or third-party agreement; (d) your content will not infringe any intellectual property, privacy, image or other right of any third party; (e) you will not use bots, fake accounts, click fraud or any other artificial means to generate traffic or sales; and (f) the information you provide to us, including your payment details, is accurate and kept up to date.

K. Term and Termination

  1. These Terms take effect when your application is accepted and remain in force until terminated.
  2. You may leave the Program at any time by written notice to contact@tokyo-tengu.com.
  3. We may suspend or terminate your participation at any time, with or without notice, in particular in case of breach of these Terms, inactivity, or a change in our program.
  4. On termination, your link and code are deactivated. Commissions already validated are paid in the next monthly payment. Commissions still in their thirty (30) day validation period are paid once validated, unless termination results from a breach of these Terms, in which case they are cancelled in accordance with Section H.
  5. Sections D.7, F, L, M, N, O and P survive termination.

L. Confidentiality

Any non-public information we share with you during the Program (unreleased designs, launch dates, sales figures, commission data of other ambassadors, internal strategy) is confidential. You agree not to disclose or use it for any purpose other than the Program, during your participation and for two (2) years after. Information that is public, or that you already lawfully knew, is not confidential.

M. Non-Disparagement and Publicity

  1. You agree not to publicly disparage Tokyo Tengu, its products, team or partners. This does not prevent you from giving honest opinions or from stopping to promote the brand.
  2. You may say publicly that you are a Tokyo Tengu ambassador. You may not issue press releases or claim to speak on behalf of the company without our written consent.

N. Liability and Indemnification

  1. You participate in the Program at your own risk. Tokyo Tengu is not liable for any indirect loss, loss of income or loss of audience related to your participation, nor for tracking failures caused by the affiliate platform, browser settings, ad blockers or customer behaviour outside our control.
  2. You agree to indemnify Tokyo Tengu against any claim, loss or cost (including reasonable legal fees) resulting from your breach of these Terms, your content, or your violation of any law or third-party right.
  3. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

O. Personal Data

We process your personal data as data controller, in accordance with the GDPR and French law, for the purposes of running the Program. The details (data collected, legal basis, retention, recipients, your rights) are set out in the Ambassador Program Privacy Policy, which forms part of these Terms.

P. Miscellaneous

  1. Independent status. You participate as an independent person. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship. You have no authority to bind Tokyo Tengu. You are not entitled to any employee benefits and you are solely responsible for your own taxes and social contributions.
  2. No exclusivity, no quota. You are free to work with other brands and there is no minimum sales requirement.
  3. Assignment. You may not transfer your rights or obligations under these Terms. Tokyo Tengu may transfer them to an affiliate or to a successor of its business.
  4. Severability. If any provision of these Terms is held invalid, the remaining provisions remain in force.
  5. No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  6. Entire agreement. These Terms, together with the Privacy Policy and any written brief we send you, constitute the entire agreement between you and Tokyo Tengu regarding the Program and replace any prior discussion or arrangement.
  7. Language. These Terms may be provided in several languages. In case of discrepancy, the English version prevails.
  8. Governing law and jurisdiction. These Terms are governed by French law. Any dispute that cannot be settled amicably will be submitted to the competent courts of Paris, France, without prejudice to any mandatory consumer or jurisdiction rules applicable in your country of residence. Before any court action, the parties agree to attempt an amicable resolution in good faith.

By applying to the Program you confirm that you have read and understood these Terms and agree to be bound by them.
